I joined the company as General Counsel during a high growth period,. The Company expanded both its niche technologies and geographic markets to include the UK, then pan-European, then Brazil and then pan-Latin America. The Company grew more than 400% in revenues and grew 250% in market capitalization. I assumed additional responsibilities as Corporate Secretary in 2006, and was promoted to Vice President in 2008, and again promoted to Executive Vice President in 2012.

Executive team member, advisor to the CEO and Board of Directors in the development and execution of strategic plans.
► Successfully closed 15 domestic and foreign M&A transactions to increase margins.
► Supported operations and local management in 15 countries for 42 offices and 6 distribution centers.
► Led the global Real Estate and Insurance programs.
General Counsel Responsibilities:
Chief Legal Officer responsible for global oversight of all legal matters.
► Established a legal function from a single paralegal to an integrated global team of 15 legal professionals in the U. S., Europe, and Latin America.
► Designed, developed, managed corporate governance structure for >30 subsidiaries in 15 countries.
► Representative for contractual relationships, financial transactions, international matters, real estate, employment, and intellectual property.
► Managed litigation or inquiries from third parties or regulators, such as SEC, DOJ, EEOC, OSHA, DOL.
► Oversaw Corporate Secretary function, including Board support, and led corporate governance projects, including 13 governance reforms that resulted in 98% shareholder approval.
Corporate Counsel for >5K employees in 33 states, Puerto Rico, and the U.S. Virgin Islands. Areas of responsibilities included contracts, employment, human resources, real estate, intellectual property, finance, merchandising, information technology, litigation and compliance with federal regulatory agencies, such as the FTC and U.S. Customs.
► Served as attorney of record directly representing company on all Title VII, ADA, and ADEA charges filed with the EEOC and its state counterparts in all company jurisdictions.
► Managed litigation matters for company, including: the development of litigation strategies, settlement negotiations, and final resolution. Litigation experience did include a material and significant California Wage & Hour Class Action and the related EPL Coverage Claim
► Located and screened outside counsel.
►Provided legal review for all new contractual agreements.
